Terms of Service

These Terms of Service ("Terms") govern your access to and use of any product or service offered by Zolvira, LLC ("Zolvira," "we," "us"), including Zolvira Prospect, Zolvira Wholesale, and any products we launch in the future (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms. A specific product may have additional terms of its own, which apply alongside these Terms for that product.

1. Accounts

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly if you suspect unauthorized use of your account.

2. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation
• Send unsolicited communications in violation of applicable anti-spam laws
• Infringe on the intellectual property or privacy rights of others
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services to transmit malicious code

We may suspend or terminate accounts that violate this section.

3. Subscriptions and Billing

Paid products are billed on a recurring basis (typically monthly) through our payment processor. By subscribing, you authorize us to charge your chosen payment method for the applicable fees. Fees are non-refundable except where required by law or as otherwise stated at the time of purchase. You can cancel a subscription at any time; cancellation takes effect at the end of the current billing period.

4. Intellectual Property

We retain all rights, title, and interest in and to the Services, including all associated software, design, and content, excluding content you provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your own business purposes.

You retain ownership of any content you submit to the Services. You grant us a license to use that content solely as needed to provide and improve the Services for you.

5. Third-Party Services

Some Services let you connect third-party accounts or tools. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their availability, content, or practices.

6. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any specific results will be achieved from using them.

7. Limitation of Liability

To the fullest extent permitted by law, Zolvira, LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold Zolvira, LLC harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms or if we discontinue a product, in which case we will make reasonable efforts to provide notice where practical.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
